Welcome to Serva, a Fleet Management platform. These Terms of Use (“Agreement”) govern your access to and use of the Serva platform, including all features, tools, services, and associated content (collectively, the “Services”) provided by Serva Technologies LLC (“Serva”, “we”, “our”, or “us”).
By accessing or using the Services, you (“you” or “Customer”) agree to be bound by these Terms.
Serva grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business purposes, subject to these Terms.
You agree not to:
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code.
Use the Services for unlawful or harmful activities.
Allow unauthorized third parties to access the Services.
2. Account and Access
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access or use.
You may authorize designated employees or agents (“Authorized Users”) to access the Services. You are responsible for their compliance with this Agreement.
3. Subscription & Payment
Your subscription begins on the Effective Date stated in the proposal or invoice.
All fees are stated exclusive of applicable taxes VAT.
Fees are due as specified in your invoice, and must be paid within a maximum of 5 business days from the date of issuance.
We reserve the right to suspend access for unpaid invoices past due.
4. Term and Termination
This Agreement is valid for the term defined in your subscription and auto-renews unless either party provides 30 days’ written notice before renewal.
Either party may terminate for breach if the other fails to cure within 30 days of written notice.
Upon termination, access will be disabled and you must cease all use of the Services.
5. Support & Availability
Serva provides:
Email and phone support during standard business hours
A commitment to maintaining high platform availability throughout the year.
Regular updates and improvements that may alter platform behavior or features.
6. Data & Privacy
You retain all rights to your data. Serva will:
Use your data solely to provide the Services.
Implement industry-standard security measures to protect your data.
Not sell, share, or misuse your data.

7. Intellectual Property
All software, content, and materials in the platform are owned by or licensed to Serva. You may not copy, modify, or distribute any part of the platform without express written consent.
8. Confidentiality
Each party agrees to protect the other’s confidential information with the same degree of care used to protect their own. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.
9. Warranties & Disclaimers
Serva warrants that:
The Services will materially perform as described in documentation.
Reasonable efforts will be made to correct any defects or service interruptions.
Disclaimer: The Services are provided “as is.” We do not guarantee that the Services will be error-free, uninterrupted, or meet all your expectations.
10. Limitation of Liability
To the maximum extent permitted by law:
Neither party shall be liable for indirect, incidental, special, or consequential damages.
Total liability for any claims under this Agreement is limited to the amount paid in the last 12 months of service.
11. Compensation for Claims
Each party agrees to compensate the other for any losses, damages, or costs arising from third-party claims related to:
Infringement of intellectual property (caused by Serva’s technology or your data).
Breach of this Agreement.
Violation of applicable laws or regulations.
12. Modifications to Terms or Services
We may update these Terms or the Services from time to time. If material changes occur, we’ll notify you at least 15 days before the changes take effect. Continued use of the Services after the effective date means you accept the updated terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes will be subject to the exclusive jurisdiction of the courts of that region.
14. Publicity
You agree that Serva may use your name and logo in its customer lists, website, and marketing materials unless otherwise agreed in writing.
